These Terms of Service form a binding agreement between you and Vmemoo Limited, trading as Vmemoo, concerning your access to and use of the Vmemoo mobile applications, websites and related services.
1. Who we are and how these Terms work
These Terms of Service ("Terms") form a binding agreement between you and Vmemoo Limited, trading as Vmemoo ("Vmemoo", "we", "us" or "our"), concerning your access to and use of the Vmemoo mobile applications, websites and related services (together, the "Service"). Our Privacy Policy, Community Guidelines, Memorial Policy, Copyright Policy and any purchase-specific terms are incorporated into these Terms by reference. By creating an account, selecting an acceptance control or using the Service, you confirm that you have read and agree to these Terms. If you do not agree, do not use the Service. Nothing in these Terms excludes rights that cannot lawfully be excluded, including mandatory consumer rights.
2. Eligibility: adults only
You must be at least 18 years old and legally capable of entering a binding agreement to create, access or maintain a Vmemoo account. The Service is not directed to children. You must provide truthful age information. We may use proportionate age-assurance measures, restrict an account while eligibility is reviewed, and suspend or close an account if we reasonably believe the user is under 18 or has provided false eligibility information. People under 18 may appear in content uploaded by an adult only where the uploader has a lawful basis and appropriate authority to publish it and acts consistently with the child's privacy, dignity, safety and best interests. A person appearing in content does not thereby become a Vmemoo user.
3. Accounts and security
- Provide accurate, current information and keep it updated. Keep credentials confidential, use reasonable security precautions and notify us promptly of suspected unauthorised access.
- Do not sell, transfer, rent or share an account, except through a Vmemoo-approved memorial-administrator transfer. You are responsible for activity under your account unless caused by Vmemoo's breach or otherwise provided by applicable law.
4. The Service and memorial roles
Vmemoo provides tools for adults to create, discover and interact with memorials concerning people, animals and meaningful memories. Features may include profiles, memorial pages, photographs, text, Prayers, reactions, tags, follows, notifications and paid presentation options. Features may change, but we will not materially reduce a paid entitlement without providing any remedy required by law. A memorial creator or administrator is a platform role, not a legal determination of next-of-kin status, estate authority, ownership of remains, inheritance rights or the truth of contested facts. Vmemoo does not certify relationships or adjudicate family, probate, religious or historical disputes.
5. Your content and the permission you give Vmemoo
You retain the rights you already hold in content you submit ("User Content"). You grant Vmemoo a non-exclusive, worldwide, royalty-free licence to host, cache, reproduce, format, adapt for technical display, transmit and display that User Content solely as reasonably necessary to operate, secure, moderate, improve and provide the Service according to your settings. This licence includes use by our service providers acting for us. It ends when the content is deleted from active systems, subject to reasonable backup cycles, legal preservation, content shared by others under their own rights, and the technical time needed to complete deletion. We will not use a private memorial or private User Content in external advertising without separate permission. If you expressly opt in to promotional use, the scope and duration of that permission will be shown when consent is requested and you may withdraw it prospectively. You represent and warrant that you have all rights, permissions and lawful grounds needed to submit the User Content; that its submission does not violate privacy, publicity, confidentiality, copyright, trademark or other rights; and that it is not materially deceptive, defamatory or unlawful.
6. Content about deceased persons and third parties
Death does not automatically make photographs, writings, medical details, private correspondence or information about surviving people free to publish. Rights may belong to photographers, estates, relatives, living people shown or mentioned, or other rights holders. You must assess those rights before uploading. When creating a memorial, you confirm that you have a genuine, good-faith connection or legitimate memorial purpose and a reasonable basis to publish the content. You must identify opinion, tribute and personal recollection as such and must not present serious disputed allegations as verified fact. Vmemoo may request supporting information, restrict visibility, transfer administration, add context or remove content while resolving a credible complaint, but is not obliged to resolve private legal disputes.
7. Prohibited conduct
- Create a malicious, mocking or deceptive memorial, or a memorial for a living person intended to harass, intimidate or falsely suggest death.
- Post unlawful, hateful, threatening, sexually exploitative, graphically violent, defamatory, fraudulent or privacy-invasive material. Exploit grief, solicit money deceptively, impersonate another person or misrepresent authority over a memorial. Share personal contact details, precise location, identity documents, financial data, medical records or private communications without lawful authority. Infringe copyright, trademark, database, publicity or other proprietary rights.
- Spam, manipulate Prayers/reactions/follows, coordinate harassment, submit knowingly false reports or evade enforcement.
- Scrape, crawl, harvest, reverse engineer, probe, overload, introduce malicious code, bypass access controls or use automated access without written permission, except where applicable law expressly permits conduct that cannot be restricted by contract. Use the Service for unlawful advertising, regulated fundraising, weapons, illegal goods, trafficking, extremist activity or criminal facilitation.
8. Moderation, reporting and appeals
Vmemoo may use automated signals and human review to detect, assess and act on content or conduct. Depending on context, we may reduce distribution, add a warning, restrict interactions, preserve evidence, remove content, disable a purchase benefit, suspend or terminate an account, or refer a matter to competent authorities. We may take urgent action without advance notice where reasonably necessary to protect people, evidence, the Service or legal compliance. Users can report content or accounts through the in-app Report function or info@vmemoo.com. Where required by law, we will provide a reason for a moderation decision and a meaningful opportunity to appeal. Abuse of reporting or appeals may itself result in restrictions.
9. Memorial conflicts and transfer requests
A credible family member, estate representative, rights holder or affected living person may request review, correction, privacy restriction, removal or transfer of memorial administration. We may ask for identity, relationship, authority, death or rights documentation, minimised to what is reasonably necessary. Submission does not guarantee the requested outcome. We may favour preservation, privacy and harm reduction while parties pursue an appropriate legal resolution.
10. Purchases, subscriptions and refunds
Paid offerings may include Bronze, Silver and Gold memorial presentation or feature packages. The exact price, duration, entitlement, renewal status and taxes will be displayed before purchase. Purchases made through Apple or Google are processed by that store and are also subject to its payment and refund rules. Vmemoo does not receive full payment-card details. We do not describe purchases as "non-refundable" where mandatory law provides cancellation, conformity, refund or other remedies. Where you ask for immediate supply of digital content or services during a statutory cancellation period, we will obtain any acknowledgement or consent required by law.
Nothing in these Terms limits remedies for defective, misdescribed or undelivered digital content. Bronze, Silver and Gold are one-time digital memorial feature packages unless the purchase screen expressly identifies a subscription. Each purchase screen states the exact features, price, currency, taxes, duration (if limited), and whether restoration is available before payment. Vmemoo will not activate automatic renewal without a separate, clear subscription disclosure and consent. Apple or Google billing is used where their rules require it. We do not rely on "consent at sign-up" as a blanket basis for all processing. The applicable basis depends on the particular purpose. We do not make solely automated decisions producing legal or similarly significant effects unless disclosed and lawfully supported.
